1. Agreement between User and Corepay
Welcome to corepay.net. The website (the “Site”) comprises various web pages operated by Corepay. Access is conditioned on acceptance of these terms without modification. Your use constitutes agreement to all Terms. Corepay is a Merchant Services Site providing bespoke merchant services solutions to businesses needing payment acceptance capabilities.
2. Privacy
Site usage is subject to Corepay’s Privacy Policy, which governs data collection practices and should be reviewed by all users.
3. Electronic Communications
Visiting the Site or sending emails to Corepay constitutes electronic communications. Users consent to receiving electronic communications and agree that all agreements, notices, disclosures, and communications provided electronically satisfy legal requirements for written communication.
4. Children Under Thirteen
Corepay does not knowingly collect personal information from persons under thirteen years of age online or offline. Users under eighteen may only use the Site with parental or guardian permission.
5. Links to Third Party Sites/Third Party Services
The Site may contain links to other websites (“Linked Sites”) not controlled by Corepay. Corepay bears no responsibility for Linked Site contents, links within them, or updates. Links are provided as convenience only; inclusion does not imply endorsement or association with operators.
Certain services via the Site are delivered by third parties. By using any product or service from the corepay.net domain, users acknowledge and consent that Corepay may share information with third parties under contractual relationships to provide requested products or services.
6. No Unlawful or Prohibited Use/Intellectual Property
Users receive a non-exclusive, non-transferable, revocable license to access and use the Site strictly per these terms. Users warrant they will not use the Site for unlawful purposes or in violation of these Terms. The Site cannot be used in ways that damage, disable, overburden, or impair it, or interfere with others’ enjoyment.
All Site content, including text, graphics, logos, images, compilations, and software, belongs to Corepay or suppliers and is protected by copyright and intellectual property laws. Users must observe all copyright notices and restrictions. Content cannot be modified, published, transmitted, reverse-engineered, sold, or used to create derivative works. Corepay content is not for resale.
Users may not delete or alter proprietary rights notices or attribution. Content use is limited to personal purposes without express written permission from Corepay and copyright owners. No ownership rights in protected content are acquired. Corepay grants no implied licenses to its intellectual property except as expressly authorized herein.
7. International Users
The Service is controlled, operated, and administered by Corepay from U.S. offices. Users accessing from outside the USA are responsible for complying with applicable local laws. Users agree not to use Corepay content in any country or manner prohibited by applicable laws, restrictions, or regulations.
8. Indemnification
Users agree to indemnify, defend, and hold harmless Corepay, its officers, directors, employees, agents, and third parties from losses, costs, liabilities, and expenses, including reasonable attorney’s fees, arising from Site use or inability to use, user postings, violation of Agreement terms, violation of third-party rights, or violation of applicable laws or regulations. Corepay reserves the right to assume exclusive defense and control of disputes subject to indemnification.
9. Arbitration
Disputes arising from or concerning these Terms that parties cannot resolve shall be resolved exclusively through final and binding arbitration per the Federal Arbitration Act. A single neutral arbitrator administers proceedings through the American Arbitration Association or similar service in a mutually agreed location. The arbitrator’s award is final; judgment may be entered in any competent court.
In legal actions or arbitration arising from these Terms, the prevailing party may recover costs and reasonable attorney’s fees. Parties agree to arbitrate all disputes and claims regarding these Terms or arising from them. The Federal Arbitration Act governs interpretation and enforcement. This provision survives Terms termination.
10. Class Action Waiver
Arbitration occurs on an individual basis; class arbitrations and class/representative/collective actions are prohibited. The parties agree that a party may bring claims against the other only in each’s individual capacity, and not as a plaintiff or class member in any putative class, collective, or representative proceeding.
11. Liability Disclaimer
Site information, software, products, and services may contain inaccuracies or typographical errors. Changes are periodically made. Corepay and/or suppliers may improve or change the Site anytime.
Corepay and/or its suppliers make no representations about the suitability, reliability, availability, timeliness, and accuracy of the information, software, products, services, and related graphics contained on the Site for any purpose. To the maximum extent permitted by applicable law, all such information, software, products, services, and related graphics are provided “as is” without warranty or condition of any kind. Corepay and suppliers disclaim all warranties and conditions regarding Site information, software, products, services, and graphics, including all implied warranties of merchantability, fitness for particular purpose, title, and non-infringement.
To the maximum extent permitted by applicable law, in no event shall Corepay and/or its suppliers be liable for any direct, indirect, punitive, incidental, special, consequential damages or any damages whatsoever including, without limitation, damages for loss of use, data, or profits arising from Site use, performance, inability to use, service provision or failure, or information obtained through the Site, whether based on contract, tort, negligence, strict liability, or otherwise, even if Corepay or suppliers were advised of damage possibilities.
12. Termination/Access Restriction
Corepay reserves sole discretion to terminate user access to the Site and services or any portion thereof anytime, without notice. To the maximum extent permitted by law, this agreement is governed by Florida law, and users consent to Florida courts’ exclusive jurisdiction and venue in all disputes arising from Site use.
Users agree that no joint venture, partnership, employment, or agency relationship exists between them and Corepay resulting from this agreement or Site use. Corepay’s performance is subject to existing laws and legal process; nothing herein limits Corepay’s right to comply with governmental, court, and law enforcement requests or requirements relating to Site use or gathered information.
If any agreement part is determined invalid or unenforceable under applicable law, the invalid provision is superseded by a valid, enforceable provision matching original intent, and the remainder remains in effect. Unless otherwise specified, this agreement constitutes the entire agreement between user and Corepay regarding the Site, superseding all prior or contemporaneous communications.
13. Changes to Terms
Corepay reserves sole discretion to change Terms under which the Site is offered. The most current Terms version supersedes all previous versions. Corepay encourages periodic review to stay informed of updates.
